Pfäffikon SZ, June 23, 2005 – Victory Industriebeteiligung AG is requesting the extraordinary Shareholders’ Meeting on June 28, 2005, to elect new candidates to the Unaxis Board of Directors as follows:
Dr. Mirko Kovats, co-owner of Victory Industriebeteiligung AG, co-owner and board chairman of A-Tec Industries AG;
Mr. Thomas P. Limberger, Chief Executive Officer of General Electric Germany, Austria and Switzerland, and a member of the Board of Directors of Unaxis Holding Inc.
Mr. Günther Robol, independent management consultant;
Mr. Christian Schmidt, board chairman of Austria Antriebstechnik AG, board chairman of Von Roll Inova Holding AG;
Mr. Georg Stumpf, chairman of the board of Stumpf AG and the Stumpf Group.
Dr. Mirko Kovats is expected to take chairmanship of the newly constituted Board of Directors at the request of Victory Industriebeteiligung AG. All members of the present Board of Directors, apart from Thomas P. Limberger, will resign from office at the close of the extraordinary General Meeting.
